1. Who may serve?

Under the current Company Law, the legal representative is a director or manager who represents the company in carrying out company affairs, as specified in the articles of association. The choice should therefore match the actual governance structure and should not be treated as a ceremonial nomination.

2. External authority and internal restrictions

The legal representative may sign or act for the company within the legal framework. The company can impose internal approval limits, but those restrictions generally do not defeat the rights of a good-faith counterparty. The company may have an internal claim against a representative who exceeds authority and causes loss, yet the external transaction may still bind the company.

3. What risks are real?

The title does not make the representative personally liable for every company debt. Exposure depends on the conduct, legal basis and role involved. Risk may arise from intentional or grossly negligent performance of duties, false filings, misuse of assets, obstruction of enforcement, regulatory violations or a separate role as director, manager, shareholder or guarantor.

Restrictions on high consumption or exit are not automatic consequences of holding the title. They may arise in enforcement, insolvency, tax, regulatory or criminal contexts when the relevant legal conditions are met.

4. Actual controller or professional manager?

An actual controller may provide decisive authority and reduce agency problems, but may be less available in China and may concentrate risk. A local manager may improve responsiveness, but the shareholder needs strong reporting, payment, chop and contract controls. A nominee who has no real access to information is usually a poor solution for both the company and the individual.

5. Appointment and exit protections

The articles, employment or appointment agreement and internal policies should define authority, approval thresholds, access to records, insurance or indemnity where lawful, and cooperation on resignation. When the representative resigns, the company should appoint a replacement and complete registration promptly. Delay creates practical problems for both the company and the former appointee.
